Forva AI - Terms of Service
Effective Date: May 11, 2025
Welcome to Forva AI! These Terms of Service ("Terms") govern your access to and use of the Forva AI website, applications, and services (collectively, the "Services") provided by Forva AI ("Forva AI," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.
1. Acceptance of Terms
By creating an account, accessing, or using the Services, you represent and warrant that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind that Organization to these Terms. In that case, "you" and "your" refer to you and that Organization.
2. Changes to Terms
We reserve the right to modify or replace these Terms at any time in our sole discretion. If we make material changes, we will notify you by posting the updated Terms on our website, by sending you an email, or through other appropriate communication channels. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for updates.
3. Account Registration and Use
Eligibility: You must be at least 18 years old and capable of entering into a binding contract to use our Services. If you are under 18, you may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
Account Creation: To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Account Responsibility: You are responsible for safeguarding your account password and for any activities or actions under your account, whether or not you have authorized such activities or actions. You agree to notify Forva AI immediately of any unauthorized use of your account. Forva AI is not liable for any loss or damage arising from your failure to comply with this security obligation.
Account Sharing: User accounts are intended for individual use by the designated user only. Sharing of account credentials with others is strictly prohibited.
4. Our Services
License to Use Services: Subject to your compliance with these Terms, Forva AI grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or internal business purposes, in accordance with your purchased subscription plan.
AI-Generated Content: The Services utilize artificial intelligence to generate text and other content ("Generated Content") based on the input you provide ("Input"). You acknowledge that Generated Content is probabilistic and may not always be accurate, complete, unique, or suitable for your specific needs. You are solely responsible for reviewing, editing, and verifying any Generated Content before use or publication. Forva AI does not make any warranties regarding the accuracy, reliability, or legality of the Generated Content.
Service Modifications: We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice at any time. You agree that Forva AI will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services. We may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability. From time to time, Forva AI may offer access to experimental, beta, or pre-release features ("Beta Features"). Such features are provided solely for testing and evaluation purposes, and may be modified, suspended, or discontinued at any time without notice. Beta Features may be incomplete or less reliable than production features and are provided “as-is” without warranties of any kind. Use of Beta Features is at your sole discretion and risk.
5. User Responsibilities and Acceptable Use
You agree not to misuse the Services or help anyone else do so. You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
Use the Services in any way that violates any applicable local, state, national, or international law or regulation.
Engage in any activity that is fraudulent, false, misleading, or deceptive.
Use the Services to generate content that is defamatory, obscene, pornographic, vulgar, offensive, discriminatory, harassing, hateful, or promotes violence or illegal activities.
Infringe upon or violate the intellectual property rights or any other rights of Forva AI or any third party.
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, algorithms, or trade secrets of the Services, except to the extent that such restriction is expressly prohibited by applicable law.
Sell, resell, rent, lease, or otherwise distribute any portion of the Services, except as expressly permitted in writing by Forva AI.
Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission, or bypass any measures we may use to prevent or restrict access to the Services. This includes, but is not limited to, activities that result in excessive usage beyond typical human patterns or that place an unreasonable load on our infrastructure.
Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
Attempt to gain unauthorized access to the Services, user accounts, or Forva AI's computer systems or networks.
Upload or transmit any viruses, worms, Trojan horses, or other malicious code.
Use the Services to develop a competing product or service.
Represent that Generated Content was solely human-generated.
Use the Services for any high-risk activities where the failure or inaccuracy of the Services or Generated Content could lead to death, personal injury, or severe physical or environmental damage.
Definition of Excessive Usage: While we do not offer client-facing APIs, "Excessive Usage" of the platform through its standard user interface is defined as:
Usage patterns that significantly surpass the average usage patterns of similarly situated users or the limits specified in your subscription plan.
Automated or scripted interactions with the user interface that mimic or attempt to replicate direct API-like functionality, resulting in continuous, high-volume requests that demonstrably degrade the performance, stability, or availability of the Services for other users.
Any usage that Forva AI, in its reasonable discretion, deems abusive, designed to circumvent service limitations or restrictions, or places an undue burden on the Services' infrastructure.
Monitoring and Enforcement for Excessive Usage: Forva AI reserves the right to monitor your usage of the Services to ensure compliance with these Terms, including the provisions regarding acceptable and non-excessive use.
For non-critical or first-time usage violations that do not immediately threaten the integrity, security, or performance of the Services for other users, Forva AI will generally issue a warning notice. This notice will typically include details of the usage pattern deemed problematic and provide you with a reasonable opportunity (for example, three (3) to five (5) business days, unless the specific circumstances reasonably require a shorter period) to respond with an explanation or to adjust your usage to comply with these Terms before further enforcement actions are taken.
If Forva AI determines, in its sole discretion, that your usage is excessive (as defined in these Terms), constitutes a repeat violation after a warning, is a critical violation impacting Service integrity or other users, or is otherwise in material breach of these Terms, we may, without limiting any other remedies available to us, take immediate action or actions following any applicable notice and cure period as described above. Such enforcement actions may include, but are not limited to:
Limiting or throttling your access to certain features or the Services as a whole.
Temporarily suspending your access to the Services.
Permanently revoking your access to the Services.
Terminating your account and access to the Services.
Except for the warning process outlined above for certain non-critical or first-time violations, while Forva AI will endeavor to provide notice of more severe enforcement actions where feasible and appropriate, we are not obligated to do so in all instances. Specifically, prior notice may not be provided in cases of willful or egregious violations, repeat offenses after a warning, situations requiring immediate action to protect the security, integrity, or performance of the Services for Forva AI or other users, or where providing notice is not practicable.
If you believe your account has been restricted, or any other enforcement action related to usage has been taken in error, you may contact our support team at hello@forva.ai to request a review of the decision. Forva AI will investigate such requests in good faith. The outcome of such a review will be communicated to you, and Forva AI's determination following such review will be considered final.
6. Fees, Payments, and Subscriptions
Subscription Plans: The Services are offered under various subscription plans with different features and usage limits. You agree to pay all applicable fees for the subscription plan you select, in accordance with the pricing and payment terms presented to you at the time of purchase.
Billing: You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing Cycles are typically set on a monthly or annual basis, depending on the subscription plan you select.
Automatic Renewal: At the end of each Billing Cycle, your subscription will automatically renew under the exact same conditions unless you cancel it or Forva AI cancels it. You may cancel your subscription renewal either through your online account management page or by contacting Forva AI customer support. Forva AI will provide advance written notice of any changes to subscription fees or renewal terms that may affect your account. For monthly subscriptions, we will not send renewal notifications. For annual or longer-term subscriptions, we will notify you at least 30 days prior to renewal. Notifications will be sent via email and/or through your online account dashboard. You are responsible for reviewing such notifications and managing your subscription accordingly.
Payment Methods: You must provide Forva AI with accurate and complete billing information, including a valid payment method (e.g., credit card). By submitting such payment information, you automatically authorize Forva AI to charge all subscription fees incurred through your account to any such payment instruments.
Modifications to Services, Plans, and Subscription Fees:
a. Service and Plan Modifications: Forva AI reserves the right to modify, enhance, add, or remove features, functionalities, and offerings of the Services, including the composition and features of its subscription plans, at any time in its sole discretion. We will endeavor to provide reasonable notice if we make a material change that would significantly diminish the core functionality of a plan to which you are subscribed. However, significant new features, modules, or substantial enhancements may, at our discretion, be offered as part of new or upgraded subscription plans, premium tiers, or as optional paid add-ons, which may be subject to different fees and terms. Your access to such new offerings may require you to change your current plan or purchase an add-on.
b. Subscription Fee Changes: Forva AI, in its sole discretion and at any time, may modify the subscription fees for its Services and plans. The timing and application of such changes will be as follows:
General Price Adjustments for Existing Plans: For any increase in the subscription fee for a plan to which you are currently subscribed, such change will become effective only at the end of your then-current Billing Cycle (e.g., at the end of your current monthly or annual pre-paid term). We will provide you with reasonable prior notice (for instance, at least 30 days for monthly subscriptions and at least 60 days for annual subscriptions, via email or an in-app notification) of any such fee increase for your plan. This notice will give you an opportunity to review the changes and terminate your subscription before the new fee applies upon your renewal. ii. Introduction of New Plans or Features with New Pricing: We may introduce new subscription plans, tiers, or specific features with associated fees at any time. These will be priced as indicated at the time of their introduction. iii. Changes to Monthly Subscriptions due to Material Enhancements: If Forva AI materially enhances your current specific monthly subscription plan with significant new features or value, we reserve the right to adjust the subscription fee for that plan. We will provide you with at least 30 days' prior notice of such a change. The new fee will become effective at the start of your next monthly Billing Cycle following the notice period. iv. Enhancements to Annual (or longer pre-paid) Subscriptions:If Forva AI materially enhances your current specific annual (or other longer-term pre-paid) subscription plan with significant new features or value during your pre-paid term, you will generally continue to receive such enhancements at your original pre-paid price until the end of your current pre-paid Billing Cycle. Any price adjustment for that enhanced plan will typically apply only upon your renewal, with reasonable prior notice as described in sub-clause (b)(i). Access to certain exceptionally significant new features, products, or services introduced during your term might, at Forva AI's discretion, be offered as an optional upgrade to a different plan or as a distinct add-on requiring an additional fee, rather than being automatically included in all existing pre-paid plans at the old price.
c. Acceptance of Fee Changes: Your continued use of the Service (or the specific plan, where applicable) after any notified subscription fee change comes into effect (typically upon renewal for existing plan price increases, or at the start of the next billing cycle for monthly plan enhancements as outlined above) constitutes your agreement to pay the modified subscription fee amount. If you do not agree to a fee change, you must terminate your subscription in accordance with the termination procedures before the change takes effect.
Taxes: All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only taxes based solely on Forva AI's net income.
No Refunds for Pre-Paid Periods: All fees paid are non-refundable. Forva AI does not provide refunds or credits for any partial subscription periods or unused Services. Upon cancellation or termination of your subscription, you will continue to have access to the Services until the end of your pre-paid Billing Cycle, after which your access will cease.
7. Intellectual Property Rights
Forva AI's Intellectual Property: The Services, including all underlying technology, software, designs, trademarks, service marks, logos, trade names, and other intellectual property rights therein or thereto, are and will remain the exclusive property of Forva AI and its licensors. Except as expressly set forth herein, no rights or licenses are granted to you under any of Forva AI's intellectual property rights.
Your Input: You retain all rights, title, and interest in and to your Input. You grant Forva AI a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your Input solely to the extent necessary to provide, maintain, and improve the Services and as otherwise permitted by our Privacy Policy. Notwithstanding the foregoing, Forva AI will not use your Input to train its general general-purpose foundation models. However, we may use Input in a limited, aggregated, and anonymized form to improve the quality and performance of the Services you interact with. We do not use your Input for advertising, for cross-customer behavioural profiling, or for sharing with third parties.
Generated Content: Subject to your compliance with these Terms and your ownership of the Input, Forva AI hereby assigns to you all its right, title, and interest in and to the Generated Content created by the Services based on your Input. You are solely responsible for the Generated Content, including ensuring it does not infringe any third-party rights and complies with applicable laws. Due to the nature of machine learning, Generated Content may not be unique across users and the Services may generate the same or similar output for Forva AI or a third party. You acknowledge and agree that your use of any Generated Content is entirely at your own risk. You are solely responsible for verifying the accuracy, legality, and appropriateness of such content before using or relying on it. Forva AI disclaims all liability for any claims, damages, or losses arising from or related to your use of the Generated Content.
Feedback: If you provide Forva AI with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you hereby grant Forva AI a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, transferable license to use, reproduce, modify, adapt, create derivative works from, distribute, display, perform, and otherwise exploit such Feedback for any purpose, without any restriction or compensation to you.
Use of Forva AI Branding: You may not use Forva AI’s name, trademarks, service marks, logos, or other brand identifiers without our prior written consent. This includes, without limitation, using such identifiers in press releases, marketing materials, public statements, or to imply a partnership, endorsement, or affiliation with Forva AI, unless expressly authorized in writing. Unauthorized use of our branding may result in suspension or termination of your access to the Services.
8. Confidentiality
"Confidential Information" means any non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Forva AI's Confidential Information includes the Services, its underlying technology, and its pricing. Your Confidential Information includes your non-public Input. Confidential Information does not include information that: (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party; (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party; (iii) is received from a third party without breach of any obligation owed to the Disclosing Party; or (iv) was independently developed by the Receiving Party.
The Receiving Party will: (i) protect the Disclosing Party's Confidential Information using the same degree of care that it uses to protect its own Confidential Information of like kind (but not less than reasonable care); (ii) not use any Confidential Information of the Disclosing Party for any purpose outside the scope of these Terms; and (iii) except as otherwise authorized by the Disclosing Party in writing, limit access to Confidential Information of the Disclosing Party to those of its and its affiliates' employees and contractors who need that access for purposes consistent with these Terms and who have signed confidentiality agreements with the Receiving Party containing protections no less stringent than those herein.
9. Data Privacy
Our collection and use of personal information in connection with your access to and use of the Services is described in our Privacy Policy, which is incorporated by reference into these Terms. As a core principle, and as stated in Section 7, Forva AI does not use your Input to train our general underlying artificial intelligence models.
10. Service Availability and Maintenance
10.1. Service Availability Target: Forva AI strives to ensure its Services are highly available. We aim to achieve a Monthly Uptime Percentage of at least 99.5% for the core functionalities of the Services. "Monthly Uptime Percentage" is calculated as the total number of minutes in a calendar month, minus the total number of minutes of Unplanned Downtime (as defined below) suffered in that calendar month, divided by the total number of minutes in that calendar month. This uptime target expressly excludes downtime resulting from:
a) Scheduled Maintenance (as defined below);
b) Emergency maintenance or urgent security updates necessary to protect the integrity or security of the Services or our systems;
c) Events beyond Forva AI's reasonable control, including but not limited to Force Majeure events (such as acts of God, government actions, war, civil unrest, strikes, terrorism, or widespread internet or telecommunication failures);
d) Failures, outages, or disruptions of third-party services, networks, or infrastructure that are not within Forva AI's direct control (e.g., cloud hosting provider outages, internet service provider failures); or
e) Any actions, inactions, or misuse of the Services by you or any third party accessing the Services on your behalf.
10.2. Scheduled Maintenance: From time to time, Forva AI will conduct maintenance to update, improve, and secure the Services ("Scheduled Maintenance"). We will use commercially reasonable efforts to provide at least twenty-four (24) hours' prior notice of Scheduled Maintenance. Such notice may be provided through your account dashboard, via email, or through other appropriate communication channels. Forva AI will endeavor to perform Scheduled Maintenance during periods of historically lower usage where feasible.
10.3. Unplanned Downtime and Communication: "Unplanned Downtime" refers to any period when the core functionalities of the Services are unavailable, outside of the exclusions mentioned in Section 10.1. In the event of Unplanned Downtime that results in a material disruption to the core functionalities of the Services for an extended duration (for example, typically exceeding two (2) continuous hours), Forva AI will use commercially reasonable efforts to:
a) Notify affected users of the Unplanned Downtime (e.g., via our system status page, account dashboard, or email); and
b) Provide periodic updates regarding the nature of the downtime, our troubleshooting efforts, and the anticipated time until service restoration.
10.4. No Service Level Agreement (SLA) or Remedies: Unless otherwise explicitly agreed to in a separate, written enterprise agreement between you and Forva AI, the service availability descriptions and targets set forth in this Section 10 are objectives only and do not constitute a formal Service Level Agreement (SLA). Consequently, failure to meet these uptime targets does not entitle you to any financial remedies, service credits, refunds, or other compensation. This Section 10 outlines our general service availability goals and communication practices.
11. Third-Party Services
The Services may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by Forva AI. Forva AI has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Forva AI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
12. Disclaimers of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
FORVA AI DOES NOT WARRANT THAT: (I) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURELY, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (II) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (III) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (IV) THE RESULTS OF USING THE SERVICES, INCLUDING ANY GENERATED CONTENT, WILL MEET YOUR REQUIREMENTS, BE ACCURATE, RELIABLE, COMPLETE, OR UP-TO-DATE.
YOU ACKNOWLEDGE THAT THE SERVICES ARE POWERED BY GENERATIVE ARTIFICIAL INTELLIGENCE. GIVEN THE RAPIDLY EVOLVING NATURE OF THIS TECHNOLOGY, THE SERVICES MAY PRODUCE INACCURATE, INCOMPLETE, OR OFFENSIVE INFORMATION. YOU AGREE TO SCRUTINIZE THE VERACITY AND APPROPRIATENESS OF ANY INFORMATION OR CONTENT OBTAINED THROUGH THE SERVICES BEFORE RELYING ON OR USING IT. YOUR USE OF THE SERVICES AND ANY RELIANCE ON GENERATED CONTENT IS SOLELY AT YOUR OWN RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FORVA AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT, INCLUDING GENERATED CONTENT, OBTAINED FROM THE SERVICES; (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (V) ANY OTHER MATTER RELATING TO THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
IN NO EVENT SHALL FORVA AI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNTS PAID BY YOU TO FORVA AI FOR THE USE OF THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to defend, indemnify, and hold harmless Forva AI, its affiliates, licensors, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms; (ii) your use of the Services, including, but not limited to, your Input and any use of Generated Content other than as expressly authorized in these Terms; or (iii) your violation of any law or the rights of a third party.
15. Term and Termination
Term: These Terms will remain in full force and effect while you use the Services.
Termination by You: You may terminate your account and these Terms at any time by ceasing all use of the Services and notifying Forva AI.
Termination by Forva AI: We may suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. Grounds for such termination may include, but are not limited to: (i) a breach of these Terms (including engaging in Excessive Usage); (ii) requests by law enforcement or other government agencies; (iii) a request by you (self-initiated account deletions); (iv) discontinuance or material modification of the Services; (v) unexpected technical or security issues or problems; or (vi) engagement by you in fraudulent or illegal activities.
Effect of Termination: Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. As stated in Section 6, no refunds will be provided for any pre-paid periods remaining at the time of termination.
16. Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.
Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Hong Kong before one arbitrator. The arbitration shall be administered by Hong Kong International Arbitration Centre pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
Class Action Waiver: YOU AND FORVA AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
17. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by Forva AI on the Services, constitute the entire agreement between you and Forva AI concerning the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.
Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Forva AI's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Forva AI may assign or transfer these Terms, at its sole discretion, without restriction.
Notices: Any notices or other communications provided by Forva AI under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Services. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
Waiver: No waiver by Forva AI of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Forva AI to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
Force Majeure: Forva AI shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Forva AI's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.
